When To Use
Use C106™ when two project parties need to establish terms for sharing digital data and building information models, and do not have an existing project agreement covering digital data licensing. This document is suitable for any size project.
What It Does
C106 is a licensing agreement for the use and transmission of digital data, including instruments of service.
C106 allows one party to:
- Grant another party a limited, non-exclusive license to use digital data on a specific project.
- Set forth procedures for transmitting the digital data.
- Place restrictions on the license granted.
This agreement establishes digital data governance and protects intellectual property. In addition, C106 allows the party transmitting digital data to collect a licensing fee for the recipient’s use of the digital data.

C106 defines digital data as information, communications, drawings, or designs created or stored for a specific project in digital form.
